Terms of Service
Effective October 10, 2026
The short version. This summary helps you read the terms; the full text below is what applies.
- Your data stays yours. We use it only to run MarginPanel for you.
- New accounts get a 14-day free trial without a card, once per account owner.
- Paid plans renew automatically each month or year until you cancel. Cancelling keeps access until the end of the period you paid for. Payments are not refundable.
- If a payment fails or the trial ends without a plan, access to the app is paused until a plan is active again.
- MarginPanel's figures depend on the reports and costs you provide. They are not accounting, tax or financial advice.
- MarginPanel is not affiliated with Temu.
1. Who we are and this agreement
MarginPanel is provided by Marginpanel LLC, a Florida limited liability company ("we", "us"). These Terms of Service ("Terms") are an agreement between us and you, the person or business that creates an account or uses MarginPanel (the "Service"). If you use the Service for a business, you confirm you can bind that business to these Terms, and "you" includes it.
By creating an account or using the Service, you accept these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. The Service
MarginPanel helps marketplace sellers understand profit: you upload settlement reports and enter product costs, and the Service calculates revenue, fees, shipping labels, refunds, product costs, profit, inventory and related figures. We may add, change or remove features over time. Features marked "beta" or "preview" may change or stop without notice.
MarginPanel is an independent product. It is not affiliated with, endorsed by or sponsored by Temu, PDD Holdings or any marketplace. Marketplace names are trademarks of their owners and are used only to describe compatibility.
3. Accounts
- You must be at least 18 years old and able to form a binding contract.
- Give accurate information and keep it current. Keep your password secure; you are responsible for activity under your account. Tell us promptly at support@marginpanel.com if you believe your account was accessed without permission.
- A workspace belongs to its owner, who is responsible for everyone given access to it and for what they do there.
4. Free trial, plans and billing
Free trial
New accounts receive a 14-day free trial with no card required. The trial is offered once per account owner; additional workspaces created by the same owner do not start a new trial. When the trial ends, you need a paid plan to keep using the Service.
Plans and prices
Plans, prices and included limits (such as monthly orders and users) are shown on the Billing page and at checkout. Yearly plans are billed once a year at the price shown. Prices are in US dollars and do not include taxes unless stated; you are responsible for taxes that apply to your purchase.
Automatic renewal
Paid plans renew automatically at the end of each billing period (monthly or yearly) and the payment method on file is charged at the then-current price until you cancel. By subscribing, you authorize these recurring charges. Payments are processed by Stripe; we do not receive or store your full card number.
Cancelling
You can cancel at any time from Manage billing in the app. Cancellation stops future renewals; you keep access until the end of the period you already paid for.
Changing plans
You can change plans from Manage billing. Changes are prorated: the difference for the rest of the period is charged, or credited against future invoices. Credits are not paid out in cash.
No refunds
Payments are non-refundable, including for partial billing periods, unused time, unused order capacity, downgrades and accounts that are not used, except where a refund is required by law.
Failed payments
If a payment fails, our payment processor may retry it. While a payment is overdue, or after a trial ends without a plan, access to the app is paused until a plan is active again. Your data is kept during this time as described in section 9.
Plan limits
If your usage goes above your plan's monthly order limit, the Service keeps working, and we may ask you to move to a plan that fits your volume. Each plan lists on the Billing page the number of users it includes.
Price changes
We may change prices. We will tell you at least 30 days before a new price applies to your subscription, and it applies from your next renewal. If you do not agree, cancel before that renewal.
5. Your data
"Your Data" means the reports, product costs, supplier and inventory records and other information you or your members upload or enter. You keep all rights to Your Data. You give us permission to host, copy, process and display Your Data only as needed to provide, secure and support the Service for you, and as described in our Privacy Policy. We do not sell Your Data.
You are responsible for Your Data and for having the right to upload it. Reports you export from a marketplace may include order numbers and other information about your sales; upload only what you are allowed to share with a service provider. While your plan is active, you can export your results to CSV and, as an owner or admin, delete reports and costs in the app. If access is paused, email support@marginpanel.com for a copy of Your Data or to delete it.
6. Results are estimates, not advice
The Service calculates figures from the files you upload, the costs and dates you enter, and the rules described in the app. Results can be incomplete or wrong if reports are missing, a marketplace changes its export format, costs are outdated, or for other reasons. Check important figures against your own records before acting on them. The Service does not provide accounting, tax, legal or financial advice.
7. Acceptable use
Do not, and do not let anyone else:
- use the Service in violation of law or of a marketplace's terms that apply to you;
- upload malware or content you have no right to share;
- access another customer's data, or probe, scan or test the Service's security without our written permission;
- get around usage limits, billing, authentication or bot protection;
- copy, resell or rent the Service, or reverse engineer it except where the law allows;
- use automated means to overload the Service or scrape it.
8. Availability and support
We work to keep the Service available and secure, but we do not promise it will be uninterrupted or error-free. We may perform maintenance, and some events are outside our control. Support is available at support@marginpanel.com.
9. Ending the agreement
You can stop using the Service and cancel your subscription at any time. You can delete your account in Settings: workspaces you own are deleted at once with their data and files, and any paid plan is cancelled. You can also email us from the address on the account.
We may suspend or end your access if you materially breach these Terms, do not pay, or if we must do so to protect the Service, other customers or comply with law. Where reasonable, we will give notice first.
If you ask us by email to delete your account, we delete Your Data within 30 days, as described in the Privacy Policy. If your account stays without an active plan for 90 days, we may delete Your Data; before then, you can ask us to restore access or to delete it sooner. Copies in backups are overwritten on their normal schedule.
Sections 5, 6, 10, 11, 12 and 14 continue after this agreement ends.
10. Disclaimer
To the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement.
11. Limitation of liability
To the fullest extent permitted by law, we will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunities, even if we were told they were possible. Our total liability for all claims related to the Service is limited to the amount you paid us for the Service in the 12 months before the event giving rise to the claim, or US$100 if you paid nothing. Some places do not allow these limits, so they apply to you only as far as the law allows.
12. Indemnity
You will defend and indemnify Marginpanel LLC against third-party claims, and the related costs, arising from Your Data or your breach of these Terms or of the law.
13. Changes to these Terms
We may update these Terms. We will post the new version here with a new effective date, and for material changes we will notify account owners by email or in the app before they take effect. If you keep using the Service after changes take effect, the updated Terms apply.
14. Governing law and disputes
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Before filing a claim, contact us at support@marginpanel.com and we will try to resolve it informally within 30 days. Any dispute that is not resolved will be heard only in the state or federal courts located in Miami-Dade County, Florida, and both parties consent to their jurisdiction.
15. General
These Terms and the Privacy Policy are the entire agreement about the Service. If any part is unenforceable, the rest stays in effect. Not enforcing a right is not a waiver. You may not transfer this agreement without our consent; we may transfer it to a successor of our business. We are not responsible for delays caused by events beyond reasonable control.
